Service Engagement Terms

Service-specific engagement terms and conditions maintained for client reference.

Select a service to review the applicable engagement terms. An inquiry or consultation booking does not itself constitute acceptance of an engagement by Legal Tax Services PLLC.
Corporate filings and client information. For accepted corporate-maintenance engagements, Legal Tax Services PLLC may coordinate routine annual reports and registry filings through authorized personnel or agents. Clients must confirm the relevant particulars and information underlying required certifications. The person signing a filing must satisfy the specific statutory authority and certification requirements; the firm does not undertake an audit unless agreed or required by law. These explanatory provisions do not replace the individual engagement terms or expand the firm’s accepted scope of services.

U.S. Company Formation & Banking

Scope. LegalTax coordinates the formation of U.S. business entities, including limited liability companies (LLCs), corporations and other available entity structures, according to the selected state, the client's objectives and the accepted engagement. Services may include entity-name selection, registered-agent coordination, state filings, organizational documentation, EIN assistance and subsequent corporate maintenance, as agreed.

Information and instructions. The client provides information on the proposed entity, its ownership, management, business activities and beneficial owners, along with identification and supporting documentation requested during onboarding. LegalTax may request updates or additional materials where appropriate.

Banking services. Assistance with opening a bank account is a separate service unless expressly included. Any application remains subject to the bank's own eligibility, identification and approval requirements.

Fees and confirmation. The engagement is subject to LegalTax's confirmation of the service, fees, due diligence and documentation. Government, registered-agent and other third-party charges are identified in the service confirmation.

U.S. Tax Preparation

Scope. Tax preparation services cover the tax returns and reporting periods identified in the accepted engagement. Additional years, amended returns, tax controversy and representation before authorities require separate agreement.

Client information. Returns are prepared from records, statements and explanations supplied by the client. The client is responsible for the completeness and accuracy of those materials, reviewing draft returns and approving submissions where required.

Review and filing. We may request clarifications or documents before completing work. Independent audit or assurance procedures are not included unless agreed separately. Filing arrangements and any necessary involvement of authorized tax professionals will be confirmed for each engagement.

Fees and timing. Fees, deadlines and deliverables are those confirmed in writing when the engagement is accepted.

Nevis & Hong Kong Company Formation

Scope. LegalTax coordinates the formation of companies in Nevis and Hong Kong through local registered agents, company secretaries or other service providers, as applicable. Available structures include Nevis LLCs and corporations, as well as Hong Kong private companies limited by shares, subject to the selected jurisdiction and accepted engagement. Services may include formation instructions, organizational documents and post-formation coordination.

Client information. The client supplies the intended shareholders or members, directors or managers, beneficial ownership information, business purpose, source-of-funds details and required identification materials.

Local procedures. Incorporation and continuing requirements depend on the chosen jurisdiction. In Hong Kong, these may include company-secretary and registered-office arrangements, company registers and applicable ongoing filings; Nevis engagements follow the relevant registered-agent and statutory procedures. Any additional services are confirmed separately.

Fees and timing. Professional fees, agent charges and government fees are confirmed as part of the accepted engagement.

Corporate Services

Scope. Corporate services may include statutory maintenance, annual reports, updates to corporate records, resolutions, changes in company information and coordination of company documents or related filings. Each engagement is limited to the work confirmed with the client.

Instructions and records. We work from information, records and instructions provided by the client or its designated representatives, and may request current corporate and identification documents where appropriate.

Third-party services. Where relevant, filings and other steps are coordinated with registered agents, registries or qualified local professionals. Decisions and processing by third parties are outside our control.

Fees and timing. Recurring maintenance, one-off filings and other services are separately identified and priced in the engagement confirmation.

U.S. Formation — Required Documents

A practical checklist of the information and documents commonly requested. Requirements depend on the entity type, state, participants and any banking services selected.

Entity formation details

  • Preferred entity name and alternative names.
  • Type of entity (LLC, corporation or another structure) and proposed state of formation.
  • Business activity and intended purpose of the entity.
  • Principal business address, mailing address and contact details.
  • Names, roles and ownership percentages of intended members, shareholders, directors, managers and authorized representatives, as applicable.
  • Contact email and telephone number of the applicant.

Identification and due diligence

  • Valid passport for each relevant owner, beneficial owner and authorized person.
  • Proof of residential address, normally a recent utility bill or equivalent document.
  • Additional identification (national identity card or driver's license), if requested.
  • Occupation, business background and source-of-funds information, when needed for due diligence.

If banking assistance is requested

  • Formation documents (Articles of Organization or Articles of Incorporation), once issued.
  • IRS EIN confirmation, when issued.
  • Operating Agreement, bylaws or other governing documents, as applicable.
  • Ownership information and identity documents for account signatories.
  • Business description, website (if available) and expected account activity.
  • Proof of address, bank references or statements where required by the financial institution.

LegalTax will confirm which documents apply to your engagement and how to provide sensitive information securely. Bank account approval is determined by the relevant institution.

Nevis & Hong Kong — Required Documents

Common onboarding information for offshore company formation. Nevis and Hong Kong have different legal and service-provider requirements; the final checklist will be confirmed for the selected jurisdiction.

Entity and applicant information

  • Applicant's full name, email, telephone, occupation and residential address.
  • Preferred company names (ideally two or three alternatives) and the proposed business activities.
  • Selected jurisdiction and entity type (Nevis LLC or corporation; Hong Kong private company limited by shares), including proposed share capital or ownership structure where applicable.
  • Names, roles, ownership percentages and contact information for proposed members or shareholders, directors or managers, officers and beneficial owners.
  • Expected activities, source of funds and anticipated capitalization.

Identification and KYC

  • Valid passport for each relevant individual.
  • Recent proof of residential address (normally issued within the last 90 days).
  • Banking or financial reference when requested by the relevant agent or service provider.
  • Professional reference where required by the registered agent.
  • Information regarding politically exposed person (PEP) status and other compliance declarations when requested.

If banking assistance is requested

  • Certificate or Articles of Incorporation/Formation and relevant governing documents once issued.
  • Registers of directors, members, shareholders and beneficial owners, as applicable.
  • Identity documents and proof of address for signatories.
  • Banking references, financial statements or supporting documentation as requested by the financial institution.
  • Description of the company's activity and anticipated banking transactions.

Additional jurisdiction-specific details

  • Nevis: any additional source-of-funds, reference or due-diligence material requested by the appointed registered agent.
  • Hong Kong: proposed company secretary and registered office arrangements, director and shareholder details, significant controller information and other incorporation or compliance details required by the company secretary or registry.
